AJA aims to invest in bitcoin mining, increase RO capital at 0.20

AJ Advance Technology Public Company Limited (AJA) revealed that the Board of Directors Meeting No. 14/2021 had a resolution to approve the Company Invest in Bitcoin Mining business, which is a new business which the company sees that it will help to generate consistent income in the long run and help the company to have a better performance. including other devices and systems related with a total investment value of not more than 900 million baht

The company expects to begin accruing revenue from its new business from 1Q12 onwards, where it will apply accounting policies to record the mined bitcoins. Revenue is recognized at fair value at the acquisition date and recorded as intangible assets at cost. (fair value as of the acquisition date) less allowance for asset impairment (if any). Recognize future added value

In this regard, the Company will propose to the Extraordinary General Meeting of Shareholders No. 1/2565 to consider increasing the registered capital of 86 704,590 baht from the original 623,815,477.60 baht to 710,439,600.10 baht by issuing 867,045,900 new ordinary shares with a par value of 0.10 baht per share to support The offering of newly issued ordinary shares to the existing shareholders (RO) and the exercise of the warrants to purchase ordinary shares of the Company No. 4 (AJA-W4) and (3) the adjustment of the rights of the warrants will purchase ordinary shares of the Company 3rd generation (AJA-W3)

1. The Company will allocate not more than 289,015,300 newly issued ordinary shares with a par value of 0.10 baht per share for RO offering, an allocation ratio of 20 existing shares to 1 newly issued ordinary share, offering price of 0.20 baht/share. Holding shares with rights to subscribe for newly issued shares (Record Date) on 14 Jan 20

2. The Company will issue and offer for sale AJA-W4 in the amount not exceeding 578,030,600 units to the existing shareholders who have subscribed and allocated the newly issued ordinary shares. free of charge at the ratio of 1 newly-issued ordinary share per 2 warrants

3. The Company will allocate not more than 119,721,431 shares with a par value of 0.10 baht per share to support the adjustment of AJA-W3 rights.

In addition, there was a resolution to propose to the Extraordinary General Meeting of Shareholders No. 1/2565 to consider amending the objectives of the Company. and amendment to Clause 3 of the Company’s Memorandum of Association to support the Company’s new business operations. By adding 5 objectives of the company as follows:

1.
