The National Pension Service objects to DGB Financial Group’s “Excessive Remuneration Limit for Directors”.

(Seoul = Yonhap Infomax) Reporter Jeong Jeong-ho = The National Pension Service decided to oppose the agenda for approving the remuneration limit for directors at the shareholders’ meeting of DGB Financial Holdings and Wonik QnC.

The Trustees’ Responsibility Committee of the National Pension Fund held the 5th committee meeting on the 28th and discussed and decided on the direction of exercising voting rights on the agenda of the shareholders’ meeting of DGB Financial Holdings, Wonik QnC, Netmarble, and Namseon Aluminium.
The National Pension Service said it opposed approving the remuneration limit for directors during the DGB Financial Holdings shareholder meeting scheduled for the 30th, saying, “The amount of remuneration is excessive considering the performance of managers.” The remaining items were voted in favor, including the appointment of internal and external directors.

At the Wonik QnC shareholders’ meeting held on the 29th, it was decided to oppose the approval of the directors’ remuneration limit on the grounds that it was excessive in view of the performance of managers.

As for Wonik QnC, it was also decided against the nomination agenda on the grounds that the permanent auditor candidate is “a person who has served within the last five years in a company with an important business relationship.”

At the Netmarble shareholders’ meeting held on the same day, they opposed the appointment of Hwang Deuk-soo as an outside director and member of the audit committee, saying that he is an “employee who works for a company with an important stake. ” All other items are in favor.

At the Namseon Aluminum shareholders meeting scheduled for the 30th, it was decided to oppose the appointment of internal director Woo Oh-hyun on the grounds of “excessive concurrent appointments.”
