A federal judge has blocked a $6.2 billion merger between Nexstar Media Group and Tegna Inc. Pending resolution of an antitrust lawsuit, citing concerns that the consolidation could harm consumers through higher prices and reduced quality of local television programming.

The ruling by U.S. District Court Chief Judge Troy L. Nunley in Sacramento, California, prevents Nexstar from integrating Tegna’s stations or influencing its management while the case proceeds. The judge found that eight state attorneys general and DirecTV are likely to prevail in their legal challenge, which argues the merger violates antitrust laws by eliminating competition in local television markets.

Nexstar and Tegna together would own 265 television stations across 44 states and the District of Columbia, making the combined entity the largest owner of local TV stations in the United States. Most of these stations are affiliates of the “Big Four” national networks: ABC, CBS, Fox, and NBC.

The attorneys general, all Democrats, and DirecTV contend that consolidating hundreds of local TV stations under one corporate owner would lead to higher prices for consumers and lower quality programming, including weakened local news coverage. New York Attorney General Letitia James stated that the merger “illegally eliminates competition” and would result in “higher prices and lower quality programming for consumers.”

California Attorney General Rob Bonta called the ruling a “critical win,” declaring the merger “illegal, plain, and simple.” He emphasized that the addition of Tegna’s stations would make Nexstar an even more dominant player in the local TV business, raising concerns about reduced investment in journalism and fact-based news.

Nexstar maintains that the transaction closed after receiving all required regulatory approvals from the Federal Communications Commission and the U.S. Department of Justice. The company describes the deal as “pro-competitive,” claiming it will strengthen local stations and support continued investment in local journalism. Nexstar has announced plans to appeal the judge’s decision to the Ninth Circuit Court of Appeals.

The legal battle highlights ongoing scrutiny of media consolidation and its potential impact on public access to information, including health and wellness content disseminated through local broadcast stations. Critics argue that reduced competition in local television could limit diverse viewpoints and diminish the quality of community-focused reporting, which often includes public health announcements, medical research updates, and wellness resources.

As the case moves toward trial, the preliminary injunction ensures that Nexstar and Tegna remain separate entities, preserving the current market structure until a final determination is made on whether the merger complies with federal antitrust laws designed to protect consumers and maintain fair competition.
