The UK government has cleared the acquisition of Telegraph Media Group by the German media company Axel Springer in a deal valued at £575 million. Culture Secretary Lisa Nandy announced on April 14, 2026, that there are no grounds to refer the merger to the media regulator, Ofcom, for an in-depth regulatory investigation.

The decision ends nearly three years of ownership uncertainty for the titles. Nandy stated in a written statement to the UK parliament that she is currently not minded to intervene in this merger based on the evidence available. However, she noted that this decision is without prejudice to her ability to intervene within statutory time limits if new information emerges.

The Department for Culture, Media and Sport (DCMS) conducted a comprehensive review of the acquisition, assessing the deal on grounds of competition and foreign influence. The culture secretary possesses the authority to call in mergers for further scrutiny under the public interest regime and the foreign state influence regime.

While the UK government approval marks a significant milestone, the transaction is not yet complete. The deal remains subject to outstanding regulatory approvals in Austria and Ireland.

Axel Springer has indicated that it expects to complete the acquisition by the end of June 2026, falling within the second quarter of the calendar year.

Competitive Context

Axel Springer was not the only entity interested in acquiring the media group. The Daily Mail & General Trust had previously proposed a takeover of the titles with a bid of £500 million.

The finalized £575 million deal with Axel Springer represents a higher valuation than the proposal made by the Daily Mail & General Trust.
