Natural persons who finance the acquisition of company shares through a bank loan act as consumers rather than commercial entrepreneurs, the Federal Court of Justice ruled on March 10, 2026. The ruling (Az. XI ZR 132/24) upends standard banking practices that have long treated managing directors and sole shareholders as business borrowers when they take out personal loans to buy corporate stakes.

Federal Court of Justice Rules on Shareholder Loans

The underlying case involved a freight forwarder who acquired a company in 2005 to operate it as a managing director and shareholder. He personally financed the purchase price through promotional loans from KfW and LfA Förderbank totaling roughly 650,000 euros. Several years later, he refinanced about 310,000 euros of those loans with his bank under a contract headed for commercial or self-employed business purposes.

When the borrower sought to terminate the financing early, the bank demanded an early repayment penalty, known as a Vorfälligkeitsentschädigung. The Higher Regional Court initially ruled in favor of the bank on the grounds that the borrower acted as an entrepreneur. The Federal Court of Justice overturned that decision, establishing that managing a company does not constitute a self-employed activity under German civil code (§ 14 BGB). Instead, holding company shares amounts to private asset management and capital investment.

Contract Titles Play No Role in Consumer Status

The federal court held that the label printed on the loan agreement holds no legal weight regarding consumer classification. Even though the bank explicitly designated the refinancing credit as a commercial loan, that formulation failed to strip the borrower of consumer status. The court determined that statutory protections depend strictly on the actual use of the funds rather than the title of the bank’s standard forms.

Judges also rejected the argument that a sole shareholder does not require the statutory protections afforded by consumer credit law. The legislature enacted the relevant rules with full awareness of corporate structures and chose not to carve out exceptions for sole proprietors or managing directors.

Financial Consequences for Early Repayment Penalties and Interest

Banks routinely processed personal loans for corporate acquisitions using business credit templates that omit mandatory disclosures required for consumer contracts. Under the ruling, missing statutory details can invalidate a bank’s claim to an early repayment penalty or trigger statutory sanctions that reduce agreed interest rates. Borrowers who paid prepayment penalties under deficient contracts may gain grounds to demand refunds, while missing cancellation disclosures could leave open a right of revocation depending on transitional rules.

Higher Regional Court Reviews Legal Consequences

The decision does not grant an automatic waiver for all borrowers, requiring case-by-case examination of individual loan documents, share purchase agreements, and bank correspondence regarding early termination.
