London, UK – Teh parent company of high street giant Primark is reportedly evaluating strategic options for its Allied Bakeries division, a move that could substantially reshape the UK bread market. The FTSE 100 conglomerate, which has not been publicly named in this context but is known for its diverse retail holdings, revealed in its May interim results that Allied Bakeries has been navigating a “very challenging market.”

A Difficult Climate for Allied Bakeries

In a statement accompanying its interim results, the company indicated a thorough review of Allied Bakeries’ future. “We are evaluating strategic options for Allied Bakeries against this backdrop and we expect to provide an update in [the second half of] 2025,” the statement read. This cautious outlook comes as the bakery sector grapples with persistent inflationary pressures, notably the soaring costs of wheat and flour. Thes price hikes were largely attributed to the ongoing conflict in Ukraine, which disrupted global supply chains. Hovis, a major player in the UK bread market, also cited these inflationary headwinds in its most recent financial filings.

Potential market Shake-up

The speculation surrounding Allied Bakeries’ future has intensified with discussions about a potential merger with Hovis.Currently, Hovis holds an estimated 24 per cent of the UK bread market, while Allied Bakeries commands approximately 17 per cent. A combination of these two entities would create a dominant force, propelling them to the largest market share segment, surpassing the current leader, Warburton’s, which holds 34 per cent.

Regulatory Scrutiny on the Horizon?

Such a significant consolidation in the bakery sector is highly likely to attract the attention of the Competition and Markets Authority (CMA). However, this potential merger arrives at a time when economic watchdogs are facing increased pressure from the government to “regulate for growth.” This delicate balance between ensuring fair competition and fostering economic expansion could influence the CMA’s approach.

Adding another layer of complexity to the regulatory landscape, the CMA’s former chair, Marcus Bokkerink, was notably asked to step down from his role in january. This decision, reportedly at the behest of business secretary Jonathan Reynolds, was seen by some legal experts as the “most overtly political” regulatory intervention in recent years, signalling a potential shift in the government’s stance on regulatory oversight. The outcome of the strategic review for Allied Bakeries, and any potential merger discussions, will be closely watched by industry stakeholders and regulators alike.
