Political Pressure Mounts for a Settlement Over Trial

California Governor Gavin Newsom quietly signaled a preference for a negotiated settlement rather than a courtroom battle that could potentially kill the massive transaction, according to Techdirt reporting. Democratic gubernatorial nominee Xavier Becerra echoed that sentiment during an August 11 appearance at a Politico conference, stating that parties get way more done in a conference room than in a courtroom, as reported by Variety.

Los Angeles Mayor Karen Bass joined the push for negotiations during a Thursday press conference, arguing that ongoing legal uncertainty harms workers and local productions. Despite differing viewpoints regarding the contemplated deal, today we are united around one clear message: It is time for all parties to come to the table, Bass said, according to Variety and Deadline. Bass added that a settlement must include meaningful and enforceable commitments to keep Paramount and Warner Bros. Discovery in Los Angeles while protecting local jobs and investments.

Labor Unions and State Enforcers Push Back

The push for a negotiated outcome drew sharp pushback from the Writers Guild of America West, which issued a statement criticizing Mayor Bass for joining what the union termed a pressure campaign by Paramount. The WGA stated, as reported by Techdirt and Deadline, that we are disappointed that Mayor Bass has chosen to join Paramount’s pressure campaign on public enforcers to push through a merger that is being rightfully challenged as illegal and will lead to job losses in the entertainment industry.

The union’s opposition follows an economic report submitted to the Los Angeles County Board of Supervisors, which projected that the merger would eliminate approximately 4,500 film and television jobs over a three-year period. According to Variety, that report noted the consolidation would accelerate an existing downturn in local production that has already cost 52,000 jobs over the last four years. In response to the county findings, a Paramount representative asserted that the economic report underscores ongoing industry decline and job losses.

Legal Deadlines and Financial Stakes Ahead of March 2027 Trial

Despite mounting political pressure from state and local leaders, California Attorney General Rob Bonta has shown no inclination to enter settlement talks, according to Deadline. Bonta recently canceled a planned meeting with Paramount after accusing the company of leaking and misrepresenting the focus of the discussions to the press. A federal court trial for the antitrust lawsuit is scheduled to begin on March 2, 2027.

Financial pressure on Paramount is building concurrently with the legal schedule. Under the merger terms, Paramount is due to start paying Warner Bros. Discovery shareholders a ticking fee of $650 million per quarter—or roughly $7 million daily—if the deal has not closed by September 30, according to Deadline and Variety. Additionally, Paramount Chairman and CEO David Ellison recently informed senior management that the company would begin relocating out of California unless the transaction closes by the end of September, a move Attorney General Bonta characterized as an attempt to blackmail the state.
