The Walt Disney Co. is set to acquire NBCUniversal’s 33% stake in Hulu for $439 million, securing complete ownership of the streaming service.This agreement concludes a multi-year appraisal process that began after Disney announced its intention to purchase Comcast’s share in November 2023 for a minimum of $27.5 billion.
Disney has managed Hulu as 2019, when comcast transitioned to a silent partner. Hulu, initially launched in 2007, was designed by entertainment companies to compete with the rise of online content. Disney joined the partnership in 2009, planning to offer content from ABC, ESPN, and the Disney Channel. The acquisition of 21st Century Fox a decade later solidified Disney’s control.
According to a regulatory filing, Disney’s appraiser initially valued the stake below the guaranteed minimum, while NBCUniversal’s appraiser placed it significantly higher. An autonomous third appraiser ultimately determined the $438.7 million figure.
Disney CEO Bob Iger said the company is pleased with the resolution. He added that the company has had a productive partnership with NBCUniversal,and completing the hulu acquisition paves the way for a deeper integration of Hulu’s general entertainment content with Disney+ and ESPN’s direct-to-consumer product.
What’s next
The transaction is expected to close by July 24 and is not anticipated to impact Disney’s fiscal 2025 adjusted earnings forecast. Disney shares saw a slight increase in morning trading Tuesday.
