Engro Connect Acquires Jazz telecom Towers, Expands Infrastructure role

Engro Connect has finalized its acquisition of 10,500 telecom towers from Jazz in a $560 million deal. The move, approved by regulators including the Competition Commission of Pakistan and the Islamabad High Court, positions Engro Connect as a major player in Pakistan’s digital infrastructure landscape.
Jazz, the country’s largest telecom operator, is the first to divest all its telecom towers. Its cell-site tower management subsidiary, Deodar, has been transferred to Engro Connect, a subsidiary of Engro Corp.Jazz will lease space on the towers from Engro Connect.
The sale represents a significant private-sector infrastructure transaction. Before the deal, Jazz utilized approximately 14,500 telecom towers, wiht Engro Enfrashare and Edotco managing the remaining 4,000. TAWAL Pakistan, a Saudi-based company, recently began operations as the fourth tower company in the country.
Telecom companies initially invested heavily in towers to establish coverage areas, according to a senior company official. Now, the trend is shifting toward tower companies managing this infrastructure.
Move to establish ‘cells’ of multiple telecom operators at a single tower
Jazz CEO Aamir Ibrahim said the deal allows the company to focus on delivering tech-driven solutions. ”As we pivot to a digital-first future, this milestone enables us to remain asset-light while doubling down on what we do best — delivering impactful, tech-driven solutions for Pakistan’s evolving needs,” Ibrahim said.
Jazz plans to expand its services in fintech, cloud computing, entertainment, and digital health.
What’s next
With the rise of tower companies, other telecom operators may also offload their tower management responsibilities. Consolidation of towers in urban areas is expected, along with expansion into underserved regions. A senior official from the IT ministry noted that the merger of Telenor and Ufone could delay similar decisions from those companies.
