What Happened?
iRobot, the maker of the Roomba robot vacuum, filed for Chapter 11 bankruptcy protection on November 15, 2023, according to court documents filed in Delaware (Reuters). Simultaneously, the company announced a deal to be acquired by Amazon for $1.7 billion, a deal initially announced in August 2022 (The Verge). However, the deal faced significant regulatory hurdles.
On December 14,2023,iRobot announced it was terminating the Amazon acquisition due to opposition from European regulators. The European Commission had concerns the deal would stifle competition in the robotic vacuum cleaner market (Reuters). Following the termination of the Amazon deal, iRobot entered into an agreement with Chinese company, Shenzen Perfect Space Technology Co., Ltd., for the sale of its assets.
The Shenzen Perfect Space Deal
iRobot has entered into an asset purchase agreement with Shenzen Perfect Space Technology Co., Ltd. (Nihon Keizai Shimbun). The deal, valued at approximately $145 million, will see Shenzen Perfect Space acquire substantially all of iRobot’s assets. The transaction is subject to court approval and other customary closing conditions. iRobot expects to complete the sale in early 2024.
Shenzen Perfect Space Technology Co., ltd. is a Chinese robotics company specializing in smart home appliances and robotics solutions. Details about the company are limited in English-language sources, but it appears to be a growing player in the Chinese robotics market.
Why Did iRobot File for Bankruptcy?
Several factors contributed to iRobot’s financial difficulties. A significant blow came from the failure of the proposed acquisition by Amazon.the company had been counting on the Amazon deal to stabilize its finances and fund future growth. The regulatory opposition to the Amazon deal left iRobot with limited options.
Beyond the failed acquisition, iRobot faced challenges including:
- Supply Chain Disruptions: Global supply chain issues, exacerbated by the COVID-19 pandemic, increased manufacturing costs and delayed product deliveries.
- Increased Competition: The robotic vacuum cleaner market has become increasingly competitive, with new entrants offering lower-priced alternatives.
- High Research and Development Costs: iRobot invested heavily in research and development, particularly in advanced robotics and AI features, which put a strain on its finances.
- Consumer Spending Slowdown: A general slowdown in consumer spending, particularly on discretionary items, impacted sales.
The company also struggled with the rollout of its J7+ robot vacuum, which experienced production delays and higher-than-expected costs
