Ohio Attorney General Dave ‍Yost has conditionally approved the acquisition of⁤ Summa Health by General Catalyst’s Health Assurance Transformation subsidiary (HATCo). The decision, announced Wednesday, stipulates that HATCo⁤ and the Akron-based health system must adhere to 10 conditions for the deal to proceed.

The conditions include boosting the purchase price by $15 million in cash and⁤ an additional $15 million in equity to Summa’s nonprofit foundation. The equity cannot be sold for three years. HATCo must also ⁢submit annual reports to the attorney general demonstrating compliance and provide advance notice of any deals raising antitrust concerns. This healthcare acquisition is a⁣ significant move in the Ohio market.

General Catalyst, a venture capital firm with investments in numerous healthcare companies, announced its intent to acquire a health system in 2023 to ⁤pilot technologies aimed⁤ at enhancing hospital operations and patient care. Summa Health, a large integrated system in Ohio with over 870 beds and thousands of employees, emerged as the target.

HATCo later finalized an agreement to ⁤acquire Summa for $485 million, pledging further investments in the years following ⁢the deal’s completion.
