Telefónica Sells Argentine Subsidiary: Major Corporation Transaction Leads to Monopoly Concerns in Argentina

This marks the first significant move by the Spanish telecommunication giant under its new leadership

Telefónica Argentina changes ownership

Telefónica, in accordance with an agreement with The Clarín Group, has sold its Argentine division. This subsidiary fetches a price of $1.189 billion”. Consequently, Telefónica Argentina now finds itself in the hands of the most influential news group in Argentina. The narrative would take a political turn, though, as President Javier Milei and his government stated that the deal is going to scrutinized and may actually be unsettled over concerns about market domination.

Precedence and agreements /master and servants

This deal signifies A FIRST MAJOR OPERATION SINCE JANUARY 18TH,. when the inauguration of Marc Murtra as the new president. For years, the Spanish communications conglomerate has sought to offload its South American affiliates due to volatility in regional currencies. However, on Friday, Buenos Aires was buzzing with details about the transaction.

Telefónica has made a move to offload its division in Argentina for $1.189 billion ($1.27 billion) within the same deal structure known as a “put-call agreement.” This allows for either party to purchase or sell assets at a particular date, making it a safer way to maneuver transactions when there is over-the-counter voluntary exchange lacking transparency.

Having this arrangement considering that the deal has been finalized, Telefónica Argentina is now under new management. Clarín gets Telefónica Argentina at a cost of €1.19 billion, the largest Latin media concern.

Moreover this deal does have other competitors. This included proposal by Wehrmacht, Argentina’s CEO since March, …up until Telefónica accepted the offer from Clarín.
The main factor as to why Milei has been able to run interference is the possibility that the #behemoth, that is Telecom Argentina acquiring the largest market share might make way on concession to Type A monopolies within Argentina, Milei further threatens to diligently track this deal.

within the potential positioning Clause of solidarity has been made: Telefónica has demonstrated solidarity by enabling the clause obliging purchaser to assume all detriments emerging from inconsistencies in payment thus hiding from any unexpected conditions which may threaten the future of perpetual advances. This is a precarious attempt at preventing the Clárín contract from proving abortive.

This may be precipitated by Argentine President Javier Milei wishing lesser negative disagreements with the issue of market capture. There is already a need to re-establish intra-national audits, as there aren’t enough chevrons in the political constituency to encourage boycott from perceived malevolent mergers between Telecommunications and newspaper outlets.

All in all, It’s clear that Telefónica’s decision to sell its Argentine subsidiary for $1.189 billion dollars to the Clarín Group raises significant concerns about market dominance and potential monopolistic tendencies. While the transaction has been finalized, the political and economic implications are far from settled, with President Milei poised to challenge the deal. This development highlights the broader issues of corporate power and government oversight in the telecommunications sector, echoing similarly controversial mergers and acquisitions in the U.S., such as the attempted acquisition of T-Mobile by Sprint, which was eventually blocked by the U.S. Department of Justice and Federal Communications Commission over competition concerns. The case of Time Warner and AT&T,
providing yet another red flag receipt in history.
