A Montpellier commercial court ruling has invalidated a mortgage promise relied upon by real estate crowdfunding investors, exposing a major legal vulnerability when property developers enter insolvency proceedings, Kohen Avocats reported.

Investors who accept a mortgage promise during a fundraising campaign face significant financial risks if the issuing developer defaults, because the promise does not create an enforceable security interest until a notary executes and officially registers the deed. Without that formal registration, retail investors rank as unsecured creditors behind senior lenders.

The Montpellier Commercial Court Ruling Cancels a Secured Claim

On May 29, 2026, the Montpellier commercial court annulled a mortgage signed in July 2024, which had been executed pursuant to a May 2021 promise attached to a bond issue. The court invalidated the security because the debtor company’s date of cessation of payments—following a judicial reorganization opened in November 2024—was retroactively fixed to January 1, 2024. Kohen Avocats noted that this decision follows established French jurisprudence dating back to 1997, confirming that a prior mortgage promise cannot salvage a security interest constituted after the official onset of financial default.

Decades of Case Law Define the Limits of Mortgage Promises

French courts have consistently ruled that a mortgage promise amounts to an obligation to perform rather than a direct property right. In an arrest on March 12, 2002, the First Civil Chamber of the Court of Cassation held that a mortgage promise does not constitute a preferential right in the absence of an immediate registration commitment by the creditor. A subsequent ruling on November 3, 2004, affirmed that the promisor holds only an obligation to perform whose breach resolves into damages rather than an automatic property lien.

Paris Commercial Court Case Demonstrates Alternative Recovery Paths

Legal disputes highlight how mortgage promises often fail to secure payouts during actual borrower defaults. In a separate case adjudicated by the Paris Business Court on January 15, 2025, an investor had subscribed 150,000 euros toward a 900,000-euro bond issue launched in April 2021 by a property trading company, which featured both corporate guarantees and a mortgage promise on a property in Montrouge. When the issuer defaulted and ignored requests for the mortgage documentation, the court ordered the issuer and a guarantor group company to jointly pay 188,968.88 euros plus procedural costs, demonstrating that the independent corporate guarantee provided the actual recovery mechanism while the mortgage promise played no practical role.

Insolvency Timelines and the Suspended Suspect Period Trap

When a developer ceases payments, courts can push the official date of default backward by up to 18 months before the opening judgment of judicial reorganization or liquidation. Any conventional security interest created during this suspicious period for pre-existing debts is automatically declared null and void under commercial law. This exact statutory rule neutralizes mortgages signed in late execution of earlier promises, leaving retail bondholders exposed to clawback actions on prior proceeds and pushing their claims behind preferential creditors.
