Private equity firm TPG has reached a deal to acquire Learfield, a prominent multimedia rights agency specializing in college sports. The transaction is valued at approximately US$2 billion, marking a significant move by the investment firm into the collegiate athletics landscape.

The deal, first reported by Sports Business Journal, involves TPG taking a majority stake in the company. As part of the transaction, Fortress Investment Group will sell its entire shareholding, while co-owner Charlesbank Capital Partners is expected to remain as a minority owner of the business.

Despite the change in ownership, the company is not expecting immediate shifts in its leadership structure. Learfield chief executive and president Cole Gahagan and other leading figures are slated to remain at the company.

The agency works with hundreds of Division I schools to manage various commercial interests. Notable partners include the University of Alabama, Ohio State University, and the University of Texas.

Learfield’s scope of operations extends beyond media rights management to include several key revenue and technology streams for universities:

  • Management of licensed merchandise.
  • Ticketing services.
  • Provision of technological support for official mobile apps and websites.

Financial Background and Ownership History

This acquisition follows a period of financial restructuring for Learfield. In 2023, the company completed a recapitalization transaction worth US$1.1 billion, which reduced its outstanding debt by more than US$600 million.

That 2023 transaction included US$150 million in fresh equity investment, which established Charlesbank, Fortress, and Clearlake Capital as majority owners. Clearlake Capital subsequently exited its stake in the agency prior to the current deal with TPG.

TPG’s acquisition of Learfield is a return to a target the firm had pursued previously, as TPG had attempted to buy the company during a sale process in 2016.

TPG’s Broader Sports Investment Strategy

The move into college sports follows other high-profile sports and entertainment investments by TPG. In 2023, the firm sold its majority stake in the Creative Artists Agency (CAA) to Francois-Henri Pinault in a transaction that valued the agency at US$7 billion.

TPG has collaborated with Rory McIlroy on a sports investment fund, signaling a continued strategic focus on the global sports industry.
