New Obligation for Company Administrators
According to Budget Law 2025 (Law No. 207,December 30,2024),administrators of companies established before January 1,2025,must communicate their certified email address (PEC) to the buisness register by June 30,2025. Companies established after this date must fulfill this obligation simultaneously with their registration.
This requirement applies to all administrators of companies set up in a corporate form, including both people’s and capital companies. This extends to administrators of SSDs (Sports Associations) registered as capital companies, weather they are sole directors or individual directors. Though, ASDs (Amateur Sports Associations), including those registered in the economic administrative repertoire (REA), are exempt.
The administrator’s PEC address, which must be communicated to the business register through the Chamber of commerce, must be personal. The use of the company’s PEC for the administrator is not permitted.
Each administrator must have a PEC address separate from the company’s. However, an administrator holding positions in multiple companies can use the same personal PEC address for all positions.
Penalties for Non-Compliance
Failure to communicate the administrator’s PEC will result in the suspension of the preliminary investigation of the submission for registration or appointment of the administrator. A fine ranging from 103 euros to 1,032 euros, as per Article 2630 of the Civil Code, will also be imposed. If the dialog occurs within 30 days of the deadline, the sanction is reduced to one-third of the amount.
Communication and any changes to the administrators’ PEC are exempt from stamp duty and secretarial rights, except when the communication occurs alongside other applications for registration or document submission.
