M Pictures Entertainment Company (MPIC) reported to the Stock Exchange that Major Cineplex Group (MAJOR) on May 26, 2023 transferred 1,202.13 million MPIC shares, or 92.46% of all shares issued by the company to Mr. Khanngern Nuannual, leading to a change in the structure of MPIC’s major shareholders as follows:
Previously, MAWR held 92.46% of shares, changed to Mr. Khanngern Nuannual 92.46% and after the transaction, Mr. Khanngern makes a tender offer for all the securities of MPIC. It will be completed in July 2023.
However, the change in the structure of MPIC’s major shareholders leads to a change in the management and control structure of the company, which was on May 26, 2023.
MPIC held a Board of Directors meeting No. 4/2023 to approve important matters as follows:
- the resignation of the following directors Effective from May 26, 2023, inclusive
(1) Mr. Vicha Poolvoralaks, the position of Director and Vice-Chairman of the Board of Directors
(2) Thitapat Ms Issarapornphat Position Director, Member of the Risk Management Committee and Member of the Executive Committee
(3) Mr. Apichart Kongchai Post Director
(4) Position Thanakorn Puliwekin Mr. Director and Executive Director
2. To approve the appointment of the following persons to replace the directors who have resigned: With effect from 26 May 2023 inclusive
(1) Mr. Khanngern Nuannual, the position of Director, instead of Mr. Vicha Poolvaraluk
(2) Mr. Jirat Wongtrangan, Director, replaces Ms. Thitapat Issarapornpat
(3) Mr. Songpol Chaowanayoothin as Director replaces Mr. Apichat Kongchai
(4) Mr Piroon Shinawatra, as Director, replacing Mr. Thanakorn Puliwekin.
3. To approve the change of authorized directors who can sign to bind the company as follows:
Previously, “Mr. Wicha Poolvaraluk, Mr. Thanakorn Puliwekin and Ms. Thitapat Issarapornpat, two of these three directors jointly sign and affix the seal of the Company.”
Changed to “Mr. Khan-Ngern Nuannual, Mr. Chirat Wongtrangan, Mr. Songpol Chaowanyothin and Mr. Piroon Shinawatra, two of these four directors jointly sign and affix the seal of the Company.”
