[뉴스프라임] Min Hee-jin, rejected by the board of directors… Hive applies to the court for an extraordinary general meeting of shareholders

As the conflict between Hive and its subsidiary Adore CEO Min Hee-jin escalates into a legal battle, public attention is focused.

There are predictions that the internal war within the hive may extend.

Meanwhile, the Corruption Investigation Bureau, which is investigating the ‘external pressure on the Chae Sang-byeong investigation’ case, is coordinating the schedule for summoning another suspect following Yoo Jae-eun, the legal affairs officer of the Ministry of National Defence.

We will discuss both matters with attorney Son Jeong-hye.

Hive applied to the court for permission to convene an extraordinary shareholders’ meeting to dismiss CEO Min Hee-jin from its Adore subsidiary, and a hearing on the matter was held this afternoon. Ultimately the conflict between Hive and CEO Min was left to the decision of the court?

Representative Min applied to change the hearing date for the general meeting of shareholders, but the court did not accept it. What do you think is the reason?

Hive previously requested a board meeting to replace Adore’s management, but CEO Min Hee-jin refused. CEO Min argued that the procedure for convening the board of directors was not legal and that Hive’s request to replace Adore’s CEO and internal board members was illegal in itself What do you think from a legal point of view?

Let’s go back to the extraordinary general meeting of shareholders. What will the court look at to decide whether an extraordinary general meeting of shareholders should be held, and when will we know the results?

If the court accepts Hive’s application, when will the extraordinary shareholders’ meeting be held?

Since Hive is the majority shareholder, holding 80% of Adore’s shares, can it be said that if an extraordinary general meeting of shareholders is held, the possibility of the dismissal of managers, including CEO Min, increases?

Currently, Hive has reported CEO Min to the police on charges of breach of trust. Meanwhile, CEO Min claimed in an earlier press conference that he wants to file a claim for damages against Hive for obstructing business. What do you think the likelihood is that the charges will be established?

Both sides seem to be at odds over the cause of the conflict. Hive claims CEO Min asked for the so-called put option exercise price among Adore stocks held by Min to be raised from 13x to 30x, but Min reckons it wasn’t money the issue. Does the battle seem likely to drag on as the two sides suddenly clash?

This time, we will be looking at news from the Airborne Bureau of Investigation, which is investigating suspicions of outside pressure in the death of Corporal Chae from the Marine Corps. The Corruption Investigation Bureau is speeding up the investigation by resuming Yoo Jae-eun, a legal officer at the Ministry of National Defense, yesterday. First, state the charges against Manager Yoo.

It is known that the Corruption Investigation Bureau obtained the phone records between Manager Yoo and Lee Si-won, the President’s Secretary for Public Discipline, on the day the case records were found last year. Manager Yoo is said to have stated that he did not remember what the call was about and that it may or may not be related to the Marine Corps incident.

Previously, it was predicted that the Corruption Investigation Bureau would call and interrogate Administrator Yoo twice and then start securing new recruits. The Corruption Investigation Bureau said it was not currently considering requesting an arrest warrant for Manager Yoo. What do you think is the reason? Is there any possibility of an additional summons?

The Corruption Investigation Bureau is said to be coordinating the summons schedule for Marine Corps Commander Kim Gye-hwan, another suspect. There are also concerns that Park Kyung-hoon, the former acting head of the National Defense Ministry’s investigative headquarters, could be summoned as early as this week. Also note the charges against the two people.

To what extent will the Office of Corruption Investigation’s investigation expand?

As the post of head of the Office of Corruption Investigation, which has been vacant for more than three months, is expected to be filled soon, attention is being paid to whether the Office of Corruption Investigation will be able to deliver results meaningful before the start of the ‘Special Prosecutor Chae Sang-byeong’. However, as the Democratic Party intends to pass the Special Prosecutor Field Special Prosecutor Act in the National Assembly next month, it does not appear that there is much time left for the Corruption Investigation Office.
